Can you try our beta kernel (from http://openvz.org/download/beta/kernel/)? It it works, please file a bug (using http://bugzilla.openvz.org/) to the kernel, giving the details of the case, and adding lspci and lspci -n for you machine.

OK ,
-I report the bug of the kernel ovzkernel-2.6.8-022stab072.2.i686.rpm in bugzilla with lspci

-I used the ovzkernel-2.6.16-026test005.1.i686.rpm , i can boot now, but there is no modules for my network card b44, so i didn't have the network working, and i can't continu Sad

Thanks in advance

Try loading tg3 driver:
# modprobe tg3

There are 2 drivers for your ethernet adapter, maybe this caused the mess.
