I don't know who sets vzctl in /dev but its part of udev so you can't just copy/paste a file, because the kernel create it at boot time. So your problem is that a kernel module is not loaded at boot time and udev is not seting up in /dev you need to find that module but this happens for example if you are not ussing a kernel with openvz. Please paste the output of uname -a
