If I have a physical server and want to migrate it to a VE, what do I have to do besides:

1. copy all the files from host to /vz/private/<veid>
2. make a <veid>.conf file

.....

fstab? mtab? /dev init?

you need to do the same tweaks as for "creating OS template".
check wiki HOWTOs about creating templates for details.
also, don't forget to specify correct OSTEMPLATE in your VEID.conf

Hai,

Is it the same result as using Virtuozo P2V tools ?
And can we use Virtuozo P2V and running the image in OpenVZ ?

You can use information from wiki-page about creating non-RPM distribution
template. For example http://wiki.openvz.org/Gentoo_template_creation.
However, some steps are distribution dependent so be clever Smile

Vasily.
