Dear Nerdsite,

vzdev package is intended to provide necessary devices inside VE.
Usually udev should create appropriate devices but to reduce the overall size of a VE udev package is changed by vzdev package. vzdev simply contains a number of device files that are to be appear under /dev directory (examine "rpm -ql vzdev | less" output). It doesn't mount anything!
In your case /dev is mounted as (I guess) tmpfs. In this case someone else is responsible to create device files so vzdev refused to be installed.
You should find out who is responsible for devices besides vzdev. If udev is already used vzdev is not needed.
