This verion is way too old. I'm not sure what to do here. Maybe it makes sense for you to try the RHEL5-based kernel (http://wiki.openvz.org/Download/kernel/rhel5). Yup I know you are on Ubuntu, maybe you'll have luck using alien to convert the kernel rpm to deb.
