There are notes on this in the openvz wiki:

http://wiki.openvz.org/Physical_to_VE

But basically rsync /, /lib /home /bin /sbin, etc from your live server
onto the openvz node (into /vz/private/<veid>) create a conf file and boot.

Ok there can be some tweaks required, but I've migrated a few RH and
legacy RH9 servers this way onto VPS.

However prior to the migration some thought might need to be given to
resources the migrated server might require.

Commercial VZ - Virtuozzo includes a tool you can install on a live
server, which provides the information required to create a VPS
configuration file.
