We need your kernel version and, if you have compiled it yourself, your .config. When I will file it as a bug to bugzilla.openvz.org (or you can do it).

FWIW I saw this on a machine with a 3ware controller that had a buggy firmware version. Upgrading the firmware made the kernel panics go away.

I've also an 3Ware Controller but:

the kernel patch solves the problem
