As far as i understand cPanel works completely in userspace and thus you can upgrade kernel on your node without a risk cPanel got broken.
OpenVZ installation is in fact just a new kernel and several rpms with tools installation, thus i believe installing OpenVZ on a cPanel node will not hurt cPanel. (In any case if (very unlikely from my point of view) something won't work you'll definitely be able to reboot back into previous kernel and get the same system you had before OpenVZ installation).
But! While being installed on the Hardware Node, cPanel (if i understand right) won't be able to manage anything inside a Container, thus if you want to run something inside a Container and use cPanel as a manager for that _inside_ a Container, you'll need to install cPanel also inside a Container.
If your problem is solved - please, report it!
It's even more important than reporting the problem itself...
